The undersigned, Shineco, Inc. a corporation formed under the laws of the State of Delaware (collectively with its subsidiaries and affiliates, including, without limitation, all entities disclosed or described in the Registration Statement (as hereinafter defined) as being subsidiaries or affiliates of Shineco, Inc., the “Company”), hereby confirms its agreement (this “Agreement”) with Bonwick Capital Partners, LLC (hereinafter referred to as “you” (including its correlatives) or the “Representative”) and with the other underwriters, including but not limited to Network 1 Financial Securities, Inc., named on Schedule 1 hereto for which the Representative is acting as representative (the Representative and such other underwriters being collectively called the “Underwriters” or, individually, an “Underwriter”) as follows:

THIS AMENDMENT TO ESCROW DEPOSIT AGREEMENT is made effective as of June 30, 2016 (the “Amendment”), by and among SHINECO, INC., a Delaware corporation (the “Company”), having an address at 2nd Floor, Wanyuan Business Center, 10 N Hongda Road, Daxing District, Beijing 100022, People’s Republic of China, BONWICK CAPITAL PARTNERS LLC, a FINRA member firm as underwriter (the “Underwriter”), as representative of the underwriters, including itself and Network 1 Financial Securities, Inc., having an address at 40 West 57th Street, 28th Floor, New York, NY 10019, and SIGNATURE BANK (the “Escrow Agent”), a New York State chartered bank, having an office at 565 Fifth Avenue, 12th Floor, New York, New York 10017.
