THIS EMPLOYEE MATTERS AGREEMENT, dated as of , 2016 (this “Agreement”), is by and among Overseas Shipholding Group, Inc., a Delaware corporation (“OSG”), and International Seaways, Inc., a Marshall Islands corporation (“INSW”).
