THIS AMENDED AND RESTATED EXECUTIVE EMPLOYMENT AGREEMENT (the “Agreement”) dated January 27, 2017 (the “Effective Date”) by and between Lion Biotechnologies, Inc., a Nevada corporation (the “Company”), and Michael T. Lotze, MD (“Executive”) (either party individually, a “Party”; collectively, the “Parties”).

This Manufacturing Services Agreement (this “Agreement”) is made as of November 23, 2016 (the “Effective Date”) by and between WuXi AppTec, Inc., a corporation organized under the laws of Delaware having a place of business at 4751 League Island Blvd., Philadelphia, PA 19112 (“Company”), and Lion Biotechnologies, Inc., a Nevada corporation having its principal place of business at 112 West 34th Street, 18th Floor, New York, NY 10120 (“LBIO”) (each of Company and LBIO, a “Party” and, collectively, the “Parties”).
