This Registration Rights Agreement (this “Agreement”) is made as of April 27, 2017, by and among Sorrento Therapeutics, Inc., a Delaware corporation (the “Company”), and the shareholders of Virttu Biologics Limited, a private company limited by shares incorporated in England and Wales (“Virttu”) set forth on Schedule A hereto (each a “Shareholder,” and collectively, the “Shareholders”) and such other Persons, if any, from time to time, that become a party hereto as holders of Registrable Securities (as defined below).
