This AGREEMENT AND PLAN OF MERGER is dated as of January 26, 2018 (this “Agreement”), by and among (i) GALLAGHER MANAGEMENT GROUP, LLC, a Georgia limited liability company (“Gallagher”), and (ii) RANDOLPH ACQUISITIONS, INC., a Delaware corporation (“RA”).
