This Membership Interest Purchase Agreement (this “Agreement”) is effective as of January 25, 2018, by and between E.N.A. Renewables, LLC, a Delaware limited liability company (“Buyer”), BioHiTech Global, Inc., a Delaware corporation and parent of the Buyer (the “Parent”), [________] and [________], each an individual (collectively, the “Sellers”) and Gold Medal Group, LLC, a Delaware limited liability company (“Company”).
