This STOCK PURCHASE AGREEMENT (this “Agreement”), dated as of October 7, 2018, is entered into among Medios de Comunicacion LTD., a British Virgin Island company (“Medcom”), Telecarrier International Limited, a British Virgin Islands company (“Telecarrier”, and together with Medcom, the “Sellers”), Millicom LIH S.A., a societe anonyme under the Laws of the Grand Duchy of Luxembourg (“Buyer”) and Millicom International Cellular S.A., a societe anonyme under the Laws of the Grand Duchy of Luxembourg (“Buyer Guarantor”) (solely for purposes of Section 9.18).
