This Exclusive U.S. License and Supply Agreement (this “Agreement”) dated as of the 23rd day of July, 2018 is made by and between Protalix Ltd., a limited liability company incorporated under the laws of Israel with offices located at 2 Snunit Street, Science Park, P.O. Box 455, Carmiel 20100, Israel (“Protalix”), and Chiesi Farmaceutici S.p.A., a company incorporated under the laws of Italy with offices located at Largo F. Belloli, 11/A, 43122 Parma, Italy (“Chiesi”) (each, a “Party” and collectively, the “Parties”).
