This AGREEMENT, effective the 20th day of September, 2018, is made by and between each of the undersigned entities (the series of which are hereinafter each referred to as the “Fund” and collectively referred to as the “Funds”), severally and not jointly, and VIRTUS FUND SERVICES, LLC (hereinafter referred to as the “Transfer Agent”). This Agreement supercedes any previous Transfer Agency and Service Agreement entered into between the above-referenced parties.

This Eighteenth Amended and Restated Expense Limitation Agreement (the “Agreement”), effective as of March 29, 2018, amends and restates that certain Seventeenth Amended and Restated Expense Limitation Agreement effective as of March 6, 2018, by and between Virtus Equity Trust, a Delaware statutory trust (the “Registrant”), on behalf of each series of the Registrant listed in Appendix A (each a “Fund” and collectively, the “Funds”) and the Adviser of each of the Funds, Virtus Investment Advisers, Inc., a Massachusetts corporation (the “Adviser”).
