This agreement (“Agreement”) sets forth the terms and conditions by which Gab AI Inc (“Issuer”, “you”, “your”) appoints StartEngine Secure LLC (“Service Provider”, “us”, “our”, “we”) as the exclusive provider of software and services relating to the recording of the issuance, transfer and registration of Issuer’s securities issued pursuant to Section 4(a)(6) under the Securities Act of 1933, and associated holder positions, and for clearing ownership changes and new issuances (the “Services”) of the Issuer’s Gab Token securities (the “Securities”). THIS POSTING AGREEMENT (the “Agreement”) is made as of this 12/17/2018, between StartEngine Crowdfunding, Inc. (“StartEngine”), a Delaware corporation, and Gab AI Inc, a Delaware [state of incorporation] corporation (the “Company”), to act as the Company’s online intermediary technology platform (the “Platform”) in connection with the Company’s proposed offering promulgated under Regulation A (“Reg A+”) under the Securities Act of 1933, as amended (the “Securities Act”), (the “Offering”) of common or preferred stock (the “Securities”).

Sibyl System LTD agrees to provide and customer agrees to purchase the services requested by customer from the website, in email or in writing. Customer may add services via any of the methods and agrees to pay in advance for them whether they be one time charges or recurring monthly fees.
