This development, option and STOCK PURCHASE AGREEMENT (this “Agreement”) is made and entered into as of January 30, 2019, by and among Alexion Pharmaceuticals, Inc., a Delaware Corporation (the “Buyer”), Caelum Biosciences, Inc., a Delaware corporation (the “Company”), the holders of the securities of the Company listed on Exhibit A and signatories hereto (collectively, the “Sellers”), and Fortress Biotech, Inc.
