This AMENDED AND RESTATED NOTE PURCHASE AGREEMENT (this “Agreement”) is dated as of June 14, 2019 and entered into by and among theMaven, Inc., a Delaware corporation (the “Borrower”), the Guarantors from time to time party hereto, each of the Purchasers from time to time named on Schedule I attached hereto or which become a Purchaser after the date hereof (together with their respective successors and permitted assigns, the “Purchasers” and each a “Purchaser”) and BRF Finance Co., LLC, in its capacity as agent for the Purchasers (“Agent”).
