The undersigned (the “Subscriber”) hereby subscribes for ______________ shares (the “Shares”) of common stock, par value $0.001 per share (“Common Stock”), of Applied DNA Sciences, Inc., a Delaware corporation (the “Company”), at a cash purchase price per share of $0.27 (the “Purchase Price”), which represents the higher of (i) the lower of (x) the closing price per share of Common Stock (as reflected on Nasdaq.com) on the trading day immediately preceding the date hereof or (y) the average closing price per share of Common Stock (as reflected on Nasdaq.com) for the five trading days immediately preceding the date hereof and (ii) the consolidated closing bid price per share of Common Stock on the trading day immediately preceding the date hereof, for an aggregate purchase price of $0.27. The Subscriber is one of several persons subscribing for Common Stock on or about the date hereof, but each such person may elect to have a different Payment Date (as defined below).
