THIS AMENDED AND RESTATED CREDIT AGREEMENT, dated as of March 5, 2004 (as amended, modified, restated or supplemented from time to time, the “Credit Agreement”), is by and among HEALTHTRONICS SURGICAL SERVICES, INC., a Georgia corporation (the “Borrower”), the Guarantors (as defined herein), the Lenders (as defined herein), SUNTRUST BANK, as Administrative Agent for the Lenders (in such capacity, the “Agent”) and SUNTRUST CAPITAL MARKETS, INC., acting through its division SunTrust Robinson Humphrey, as Sole Lead Arranger and Sole Book Manager (the “Arranger”).
