We are pleased to inform you that on March 31, 2010, North American Galvanizing & Coatings, Inc. (“NGA” or the “Company”) entered into an Agreement and Plan of Merger (the “Merger Agreement”) with AZZ incorporated, a Texas corporation (“AZZ” or “Parent”), and Big Kettle Merger Sub, Inc., a Delaware corporation and an indirect wholly owned subsidiary of Parent (“Purchaser”).
