THIS FIRST AMENDMENT TO EMPLOYMENT AGREEMENT (this “Amendment”) effective as of July 1, 2013, by and between COVER-ALL TECHNOLOGIES INC., a Delaware corporation (the “Company”), and MANISH D. SHAH (the “Executive”).
