STOCK PURCHASE AGREEMENT (this “Agreement”), dated as of February 15, 2008, among HITACHI, LTD., a corporation organized under the laws of Japan (“Hitachi”), HITACHI ASIA LTD., a company incorporated under the laws of Singapore (“HAS”) (each a “Seller” and together the “Sellers”), and CHARTERED SEMICONDUCTOR MANUFACTURING LTD., a company incorporated under the laws of Singapore (the “Purchaser”).
