This Purchase Agreement (this “Agreement”) is entered into as of July 8, 2004 by and among Octel America, Inc., a Delaware corporation (“Buyer”) and Starreon Corporation, a Colorado corporation (“Seller,” and together with Buyer, the “Parties”). Certain capitalized terms used but not otherwise defined herein have the meanings assigned to them in Annex A attached hereto.
