Eksportfinans ASA, a Norwegian corporation (the “Company”), confirms its agreement with Wachovia Capital Markets, LLC (“Wachovia”), Wells Fargo Securities, LLC (“Wells Fargo Securities”), and each of the other Underwriters named in Exhibit A hereto (collectively, the “Underwriters,” which term shall also include any underwriter substituted as hereinafter provided in Section 9 hereof), for whom Wachovia and Wells Fargo Securities are acting as representatives (in such capacity, the “Representatives”), with respect to the issue and sale by the Company of a total of 2,250,000 Nikkei 225 Index Call Warrants (the “Warrants”), and the purchase by the Underwriters, acting severally and not jointly, of the respective numbers of Warrants set forth in said Exhibit A hereto. The Warrants are to be issued pursuant to the provisions of a Warrant Agreement (the “Warrant Agreement”) dated as of November 3, 2006 among the Company, Citibank, N.A., as warrant agent thereunder (the “Warrant Agent”) and W
