This Amended Employment Agreement (this “Agreement”) is dated as of May 9, 2008 and effective as of the 1st day of April, 2008, by and between David B. McWilliams (hereinafter referred to as “Employee”) and Opexa Therapeutics, Inc. (hereinafter referred to as “Opexa”), and amends that certain amended and restated employment agreement, effective June 15, 2006, by and between Employee and Opexa (“Original Agreement”).
