This Sale and Servicing Agreement is entered into as of August 25, 2008, among Hercules Funding II LLC, a Delaware limited liability company, as Borrower (in such capacity, the “Borrower”), Hercules Technology Growth Capital, Inc., a Maryland corporation (“Hercules”), as Originator (in such capacity, the “Originator”) and as Servicer (in such capacity, the “Servicer”), Wells Fargo Foothill, LLC, a Delaware limited liability company, as Agent for Lenders under the Loan Agreement (as hereinafter defined) (in such capacity, the “Agent”), and Lyon Financial Services, Inc., a Minnesota corporation, doing business as U.S. Bank Portfolio Services, as Backup Servicer (in such capacity, the “Backup Servicer”).
