MANAGEMENT SERVICES AGREEMENT, (this “Agreement”), dated April 14, 2010 (the “Execution Date”) by and between Ore Pharmaceutical Holdings Inc., a Delaware corporation (the “Company”), and p-Value Capital Management LLC, a Delaware limited liability company (the “Manager”).
