This SHARE PURCHASE AGREEMENT (the “Agreement”), dated as of May 3, 2011, is made by and among AKORN, INC., a Louisiana corporation (“Purchaser”), AVR BUSINESS TRUST, a Massachusetts business trust (the “Trust”), ADVANCED VISION RESEARCH, INC., a Massachusetts corporation (the “Company”), ADVANCED VISION PHARMACEUTICALS, LLC, a Delaware limited liability company (“AVP”), Elisabeth N.
