Ramco-Gershenson Properties Trust, a Maryland real estate investment trust (the “Company”), proposes to issue and sell to the several Underwriters listed in Schedule 1 to this Agreement (the “Underwriters”), for whom you are acting as representatives (the “Representatives”), an aggregate of 5,500,000 shares (the “Underwritten Shares”) of Common Shares of Beneficial Interest, par value $0.01 per share (the “Common Shares”), of the Company and, at the option of the Underwriters, up to an additional 825,000 Common Shares (the “Option Shares”). The Underwritten Shares and the Option Shares are herein referred to as the “Shares.”
