This EMPLOYMENT AGREEMENT (this "Agreement") is made and entered into as of the 24th day of September 2012 (the "Effective Date"), between PBI Bank, Inc., a Kentucky-chartered commercial bank (the "Bank" or the "Employer"), and John R. Davis (the "Executive"), and joined in by Porter Bancorp, Inc. (the "Corporation") for the purposes set forth in Sections 3(d) and (e) hereof.
