THIS AMENDED AND RESTATED RIGHTS AGREEMENT, entered into as of October 31, 2012 (“Agreement”), by and between Investors Title Company, a North Carolina corporation (the “Corporation”), and Broadridge Corporate Issuer Solutions, Inc., a Pennsylvania corporation (the “Rights Agent,” which shall include any successor Rights Agent hereunder), amends and restates that certain Rights Agreement, dated as of November 12, 2002 (as amended and restated on August 9, 2010 and amended on August 22, 2012, the “Original Agreement”), between the Corporation and the Rights Agent.
