Revolving Credit and Security Agreement dated December 21, 2012, among Zochem Inc., a corporation incorporated pursuant to the Canada Business Corporations Act (the “Borrower”), the Guarantors (as hereinafter defined), the financial institutions which are now or which hereafter become a party hereto (collectively, the “Lenders” and individually a “Lender”) and PNC Bank, Canada Branch (“PNC”), as agent for the Lenders (PNC, in such capacity, the “Agent”).
