WHEREAS, the Company, the Managed Subsidiary, the Manager, Macquarie Yorkshire LLC, a Delaware limited liability company (“Yorkshire”), South East Water LLC, a Delaware limited liability company (“South East Water”), and Communications Infrastructure LLC, a Delaware limited liability company (“Communications Infrastructure”) are parties to the Amended and Restated Management Services Agreement dated as of June 22, 2007 and effective as of June 25, 2007, as amended by Amendment No. 1 thereto, entered into as of February 7, 2008 (the “Previous Agreement”);
