This MEMBERSHIP INTEREST PURCHASE AGREEMENT (this “Agreement”), dated effective as of April 12, 2019, is by and among ADTALEM GLOBAL EDUCATION INC., a Delaware corporation (“Buyer”), OCL FINANCIAL SERVICES LLC, a Delaware limited liability company (the “Company”), and OCL PROFESSIONAL EDUCATION, INC., a Delaware corporation (“Seller”). Certain capitalized terms used herein but not otherwise defined shall have the meanings set forth in Section 1.
