This ASSET PURCHASE AGREEMENT (this “Agreement”) is effective as of June 8, 2021, by and among (i) CROSS COUNTRY HEALTHCARE, INC., a Delaware corporation (the “Buyer”), (ii) WORKFORCE SOLUTIONS GROUP, INCORPORATED, a California corporation (“WSG”), HEALTH TALENT STRATEGIES, INC., a California corporation (“HTS”), TALENT STRATEGIES, INC., a California corporation (“TSI” and together with WSG and HTS, the “Sellers” and each a “Seller”), and (iii) PAMELA JUNG (the “Owner”).
