THIS EMPLOYMENT AGREEMENT (this “Agreement”) is made as of October 9, 2007, by and between SARATOGA RESOURCES, INC., a Texas corporation (the “Company”), and THOMAS F. COOKE, JR. (the “Executive”) (each a “Party” and, collectively, the “Parties”). Unless otherwise indicated, capitalized terms are defined in Section 2.1.
