This SECURITY AGREEMENT, dated as of December 23, 2021 (this “Agreement”), is by and among HALOZYME THERAPEUTICS, INC., a Delaware corporation (the “Borrower”), and certain of its Subsidiaries which are, from time to time, “Domestic Loan Parties” (as defined in the Credit Agreement) (collectively, together with the Borrower, the “Grantors”) and BANK OF AMERICA, N.A., as administrative agent (in such capacity, the “Administrative Agent”) for itself and the other lending institutions (hereinafter, collectively, the “Lenders”) which are or may become parties to that certain Credit Agreement, dated as of the date hereof (as amended, supplemented, restated or otherwise modified and in effect from time to time, the “Credit Agreement”), by and among the Borrower, the Lenders party thereto and the Administrative Agent.
