THIS SHARE EXCHANGE AGREEMENT (hereinafter referred to as the “Agreement”) is made this 15th day of March 2005, and shall be effective April 1, 2005, by and between Geotec Thermal Generators, Inc. a Florida corporation that maintains its principal place of business at 110 East Atlantic Avenue, Suite 200, Delray Beach, FL, 33444 (hereinafter referred to as the “Buyer”), Joseph Bergman, whose business address is 5858 West Atlantic Avenue, Delray Beach, Florida 33484 (“Seller”) and Consolidated Resources Group, Inc. (the “Company”or “Seller”), a Florida corporation whose principal place of business is located at 5858 West Atlantic Avenue, Delray Beach, Florida 33484.

This Addendum to Share Exchange Agreement (“Addendum”) is agreed to and ratified this 1st day of April, 2005, the effective date, which was agreed to on March 15, 2005, by Geotec Thermal Generators, Inc. (“Geotec”), Joseph Bergmann, (“Bergmann”) and Consolidated Resources Group, Inc. (the “Company”).
