THIS SHARE EXCHANGE AGREEMENT (the “Agreement”) is made as of October 19, 2006, by and among IA Global, Inc., a corporation organized and existing under the laws of the State of Delaware (the “Company”), Australian Secured Financial Limited ACN 120 340 507, a company registered and existing under the laws of Australia (“ASFL”), and each of the selling shareholders of ASFL listed on Schedule I hereto (each a “Seller” and collectively the “Sellers”).
