THIS SHARE EXCHANGE AGREEMENT (the “Agreement”) is made as of August 24, 2007, by and among IA Global, Inc., a corporation organized and existing under the laws of the State of Delaware (the “Company”) and Raymond Pedersen (the “Seller”), an individual citizen of Canada related to his ownership of Slate Consulting K.K., (“Slate”), a corporation registered and existing under the laws of Japan, including each of the operations of Slate listed on Schedule I, Section 2.5 hereto.
