THIS MANAGEMENT SERVICES AGREEMENT (the “Agreement”) is entered into as of the 1st day of October, 2008 (the “Effective Date”), by and between BRAND BUILDERS RX, LLC, a Delaware limited liability company (“Company”), and BRAND BUILDERS INTERNATIONAL, LLC, a Delaware limited liability company (“Brand Builders”). The Company and Brand Builders are hereunder also referred to collectively as the “Parties” and individually as a “Party”. All capitalized terms used herein without definition shall have the meanings set forth in the Operating Agreement of the Company, dated as of October 1, 2008.

This BUY-SELL AGREEMENT (as the same may be amended, modified and waived from time to time, this “Agreement”) is entered into as of October 1, 2008 (the “Effective Date”) by and among HYDRON TECHNOLOGIES, INC., a New York corporation (“Hydron”), BRAND BUILDERS INTERNATIONAL, LLC, a Delaware limited liability company (“Harezi”), and BRAND BUILDERS RX, LLC, a Delaware limited liability company (the “Company”).

LIMITED LIABILITY COMPANY AGREEMENT OF BRAND BUILDERS RX, LLC (the “Company”), dated as of the 1st day of October, 2008, by and among the Persons listed on Exhibit A hereto, each, a “Member,” and together with any other Member admitted to the Company pursuant to the terms of this Agreement, the “Members”). All capitalized terms used herein shall have the meaning ascribed to such terms in Exhibit B hereto.
