This AGREEMENT AND PLAN OF MERGER (this “Merger Agreement”) is made and entered into as of the 12th day of May, 2023, by and between Koru Medical Systems, Inc., a New York corporation (“KORU (NY)”), and Koru Medical Systems, Inc., a Delaware corporation (“KORU (DE)”).
