THIS AGREEMENT is made as of _______, 2005, by and between SYCUAN CAPITAL MANAGEMENT, INC., a Native American corporation (the "Adviser"), A.Q. JOHNSON & CO., INC., a California corporation (the "Sub-Adviser"), and SYCUAN FUNDS, an Ohio business trust (the "Trust"), on behalf of the series of the Trust now or hereafter identified on Schedule A (each a "Fund" and collectively, the "Funds").
