THIS AGREEMENT is made as of December 8, 2010, between the Archer Investment Series Trust, on behalf of its separate series, the Archer Balanced Fund, the Archer Stock Fund and the Archer Income Fund (“Fund”), and Rafferty Capital Markets, LLC, (“RCM”), a corporation organized and existing under the laws of the State of New York.
