This AMENDED AND RESTATED MANAGEMENT CONTRACT is made as of this 8th day of August, 2010 between the SIMPLE CAPITAL TRUST, a Massachusetts business trust (the “Trust”), on behalf of its Series the Simple Capital Fund (the “Fund”), and Simple Capital, LLC, a Delaware limited liability company (the “Manager”).
