This Assignment, Assumption and Recognition Agreement (this “AAR Agreement”) is made and entered into as of June 29, 2007 (the “Closing Date”), among DB Structured Products, Inc., having an address at 60 Wall Street, New York, New York 10005 (the “Assignor”), ACE Securities Corp., having an address at 6525 Morrison Boulevard, Suite 318, Charlotte, North Carolina 28211 (the “Assignee”), and GMAC Mortgage, LLC, having an address at 100 Witmer Road, Horsham, Pennsylvania 19044 (the “Company” or the “Servicer”) and acknowledged and agreed to by Wells Fargo Bank, N.A., as master servicer (the “Master Servicer”).

THIS SERVICER APPOINTMENT, ASSUMPTION AND AMENDMENT AGREEMENT (SERVICING CONTRACT) (this “Agreement”), dated as of November 1, 2007, is by and among ACE Securities, Corp., as depositor (the “Depositor”), DB Structured Products, Inc., as sponsor (the “Sponsor”), MidFirst Bank, as a servicer (“MidFirst”), Wells Fargo Bank, National Association, as master servicer (the “Master Servicer”) and securities administrator (the “Securities Administrator”), and HSBC Bank USA, National Association, as trustee (the “Trustee”), and is acknowledged and agreed to by GMAC Mortgage, LLC (“GMACM”).
