This EXECUTIVE RETIREMENT AGREEMENT AND GENERAL RELEASE (“Agreement”) is made as of March 5, 2010, between Tri-Valley Corporation, a Delaware corporation (“Tri-Valley”) and Tri-Valley Oil & Gas Co., a California corporation (“TVOG”) and a wholly-owned subsidiary of Tri-Valley, on the one hand, and F.
