THIS CONSULTING & FINDER’S FEE AGREEMENT (this “Agreement”), made as of this 1st day of May 2014, is by and between Placer Del Mar Ltd., a Nevada corporation, its subsidiaries, affiliates and successors (the “Company”), with its principal place of business at 4045 Sheridan Avenue, Suite 443, Miami Beach, Florida 33140, and ZMAX Capital Corp., a Florida company (“Finder”), with its principal place of business at 4045 Sheridan Avenue, Suite 443, Miami Beach, Florida 33140.

We refer to the Mineral Extraction Rights Agreement dated December 8, 2010, between Roca Cantera y Marmol Canteras Acabados Finos (“RCM”) and Placer Del Mar, Ltd., a Nevada corporation (“Placer”) (the “Agreement”). For good and valuable consideration, RCM and Placer hearby agree that the Agreement is terminated and of no further force or effect from June 30, 2013.

We refer to the Mineral Rights Revenue Sharing Agreement dated April 24, 2006, between Jorge Alberto Almarez (“Almarez”) and Placer Del Mar, Ltd., a Nevada corporation (“Placer”), as amended on December 8, 2010 (as so amended, the “Agreement”). Almarez and Placer hearby agree that the Agreement is terminated and of no further force or effect from June 30, 2013.
