Exhibit 10.35 Dear Rich, Your January 9, 2001 agreement (the “Original Agreement”) with IMPATH Inc. (the “Company”) contained certain provisions with regard to a change in control of the Company and severance. This letter sets forth revised terms and is intended to modify the terms of the Original Agreement. The third paragraph of the Original Agreement is amended and replaced in its entirety as follows:

(“Parent”), IMPATH PREDICTIVE ONCOLOGY, INC., IMPATH-BIS INC., MEDICAL REGISTRY SERVICES, INC., IMPATH-BCP, INC., IMPATH-PCRL INC., IMPATH-HDC, INC., IMPATH INFORMATION SERVICES, INC., TAMTRON CORPORATION and IMPATH-CSL INC. (each of the foregoing is referred to herein individually as a “Borrower” and collectively as the “Borrowers”), FLEET NATIONAL BANK (“Fleet”), THE BANK OF NEW YORK (“BNY”), KEY CORPORATE CAPITAL INC. (“Key”) and BANK LEUMI USA (“Leumi;” Fleet, BNY, Key and Leumi, together with each of their successors and assigns, are referred to herein individually as a “Lender” and collectively as the “Lenders”), FLEET NATIONAL BANK, as Issuing Lender and FLEET NATIONAL BANK, acting in the manner and to the extent described in Article IX of the Credit Agreement
