STOCK PURCHASE AGREEMENT THIS STOCK PURCHASE AGREEMENT (this “Agreement”) is made as of the 18th day of June, 2004, by and between New Century Equity Holdings Corp., a Delaware corporation (the “Company”), and Newcastle Partners, L.P., a Texas limited partnership (the “Purchaser”). W I T N E S S E T H: WHEREAS, the Company has announced that it completed the sale of all of its holdings in Princeton eCom Corporation (“Princeton”) and that its Board of Directors has approved a plan of liquidation and dissolution of the Company; WHEREAS, the Company has filed definitive proxy materials (the “Proxy Materials”) seeking stockholder approval of the proposed sale of its holdings in Princeton (the “Princeton Transaction”) and the proposed liquidation and dissolution of the Company (the “Liquidation”); WHEREAS, the Company now desires to issue and sell, and the Purchaser desires to purchase, all upon the terms and subject to the conditions set forth in this Agreement, shares of Series A 4% Con
