Exhibit 10.54 EXCLUSIVE LICENSE AGREEMENT *** THIS LICENSE AGREEMENT (the “Agreement”) is made and is effective as of the 1st day of February 2005, (the “Effective Date”) by and between RUTGERS, THE STATE UNIVERSITY OF NEW JERSEY, having its statewide Office of Corporate Liaison and Technology Transfer at ASB III, 3 Rutgers Plaza, New Brunswick, New Jersey 08901-8559, (hereinafter referred to as “Rutgers”), and OSTEOTECH, INC, a publicly traded corporation having a principal place of business at 51 James Way, Eatontown, NJ 07724 and its Affiliates (hereinafter referred to as “Licensee” or “Osteotech”). RECITALS WHEREAS, Certain inventions (hereinafter the “Inventions”) specifically identified as Rutgers patents in Exhibit A attached hereto and made a part hereof were made in the course of research at Rutgers under the direction of Dr. Joachim Kohn and other Rutgers employees listed as inventors on the patents listed in Exhibit A (hereinafter collectively “Inventors”); and
