SEVENTH AMENDMENT, dated as of June 15, 2008 to the Credit Agreement referred to below (this “Amendment”), by and among BUTLER SERVICE GROUP, INC., a New Jersey corporation, as the Borrower (the “Borrower”), the other Credit Parties signatory hereto, GENERAL ELECTRIC CAPITAL CORPORATION, a Delaware corporation, for itself, as Lender, and as Agent for Lenders (in such capacity, the “Agent”) and the other Lenders signatory hereto.

Reference is made to the Third Amendment to Second Lien Credit Agreement (the “Third Amendment”) dated as of May 28, 2008. Unless otherwise defined herein, capitalized terms used herein shall have the respective meanings provided in the Third Amendment and if not defined therein shall have the respective meanings provided for in the Credit Agreement (as defined in the Third Amendment).
