THIS SEPARATION AGREEMENT (“Agreement”) is made and entered into as of February 3, 2011, by and between Thomas Nields (“Executive”), People’s Liberation, Inc. (“Parent”), and all of its subsidiaries, being William Rast Sourcing, LLC, William Rast Licensing, LLC, William Rast Retail, LLC, Bella Rose, LLC, J.Lindeberg USA, LLC, J.Lindeberg USA Retail, LLC, and Versatile Entertainment, Inc. (collectively with Parent, the “Company”).

This Consulting Agreement (“Agreement”) is effective as of February 3, 2011 (“Effective Date”), by and between People’s Liberation, Inc. whose address is 1212 S. Flower, LA CA 90015 (the “Company”), and Thomas Nields (or an entity owned by Thomas Nields), whose address is 727 Crestmoore Place, Venice, CA. 90291 (the “Consultant”), in reference to the following:

This Unit Purchase Agreement (this “Agreement”) is entered into as of April 7, 2011, by and among (a) J. Lindeberg USA Corp, a New York corporation (the “Buyer”), (b) People’s Liberation, Inc. (“PPLB”) and (c) Bella Rose, LLC (“BR” and together with PPLB, the “Selling Parties”). Each of the Selling Parties and Buyer is referred to herein as a “Party” and collectively as the “Parties.”
