THIS PURCHASE AND ASSUMPTION AGREEMENT (this “Agreement”), dated as of August 17, 2012, is made by and between Old Florida National Bank, a national banking association (“Purchaser”), Orange Bank of Florida, a Florida chartered commercial bank (“Seller”), and Floridian Financial Group, Inc., a Florida corporation (“HoldCo”), solely with respect to Section 7.6 and Article 12.
