This Participant Agreement (the “Agreement”) is made as of the 21st day of February, 2017, between Capital City Bank Group, Inc., a Florida corporation (the “Company”), and J. Kimbrough Davis (“Participant”). Capitalized terms used and not otherwise defined herein shall have the meanings attributed thereto in the Capital City Bank Group, Inc. 2011 Associate Incentive Plan (the “Plan”).
